Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of the UBQT Group website at ubqtgroup.com and the consulting, design, development, and hosting services provided by UBQT Group (“UBQT”, “we”, “us”). By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or engage our services.

Our services

UBQT offers technology consulting, web design, web development, and managed hosting services primarily for small and mid-sized businesses. The specifics of any engagement — scope, deliverables, timeline, and fees — are described in a separate written statement of work, proposal, or order form (“Engagement Documents”) that is governed by these Terms.

Engagements & change management

Work is performed as described in the applicable Engagement Documents. Changes to scope, deliverables, or timeline are handled through a simple written change request signed by both parties. Materials, access, content, and feedback required from you must be provided in a timely way for us to meet agreed dates.

Fees & billing

• Fixed-price projects are invoiced according to the milestones described in the Engagement Documents, typically with an initiation payment.
• Retainers and hosting plans are invoiced monthly in advance.
• Invoices are due within fifteen (15) days of issue unless otherwise agreed in writing.
• Overdue balances may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend work or hosting on accounts more than thirty (30) days past due, after notice.
• Fees are exclusive of applicable taxes, which are the client’s responsibility unless required by law to be collected by UBQT.

Hosting & uptime

For hosting services, UBQT targets a monthly uptime of 99.9%, measured excluding scheduled maintenance, force majeure events, and disruptions caused by client code, client configuration, or upstream providers. Scheduled maintenance is communicated in advance where reasonably possible. You are responsible for maintaining accurate DNS, domain, and billing information for any services you rely on.

You agree not to use UBQT-hosted services to transmit unlawful, infringing, fraudulent, harmful, or abusive content, to send unsolicited bulk email, to host malware, or to otherwise violate applicable law or the rights of others. We may suspend services that put our infrastructure, other clients, or third parties at risk.

Intellectual property

Upon full payment of all fees for a given project, UBQT assigns to you the final deliverables created specifically for you, excluding any third-party materials and any pre-existing tools, templates, frameworks, libraries, code, or know-how used to produce them (“UBQT Materials”). UBQT retains all rights to UBQT Materials and grants you a perpetual, non-exclusive, worldwide license to use them as embedded in the deliverables.

We may publicly reference engagements and display non-confidential portions of the work for portfolio and marketing purposes unless you tell us otherwise in writing.

Confidentiality

Each party will protect the other’s non-public information disclosed during an engagement with at least the same care it uses to protect its own confidential information, and will use such information only to perform its obligations under the engagement. Confidentiality obligations survive termination for three years, or longer where required by law.

Client responsibilities

You agree to:

• Provide accurate information and timely feedback.
• Ensure you have the rights to any content, assets, or credentials you give us.
• Maintain appropriate backups of any materials you consider critical, in addition to backups we provide.
• Use our services only for lawful purposes and in compliance with applicable regulations.

Warranty disclaimer

We perform our services with the standard of care expected of a professional consultancy in our industry. Beyond this, to the fullest extent permitted by law, our website and services are provided “as is” and without warranties of any kind, whether express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted or error-free.

Limitation of liability

To the maximum extent permitted by law, UBQT’s total aggregate liability arising out of or relating to these Terms or an engagement will not exceed the fees paid by you to UBQT for the services giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability. In no event will UBQT be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if advised of the possibility of such damages. These limits do not apply to liabilities that cannot be limited by law.

Termination

Either party may terminate an engagement for material breach if the breach is not cured within fifteen (15) days of written notice. Retainers and hosting plans may be cancelled by either party with thirty (30) days’ written notice, effective at the end of the then- current billing month. On termination, you will pay for all work performed and expenses incurred up to the termination date, and each party will return or destroy the other’s confidential information on request.

Governing law

These Terms are governed by the laws of the jurisdiction in which UBQT is domiciled, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or an engagement will be resolved in the courts of that jurisdiction, and the parties consent to the exclusive jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. When we do, we will change the “last updated” date at the top of the page. Continued use of the site or services after changes become effective constitutes acceptance of the revised Terms. Material changes that affect active engagements will be communicated to clients directly.
